Terms of Service

1. Acceptance of Terms

By engaging ChargeGuard's detention and accessorial charge recovery service, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not engage our services.

2. Nature of Service

ChargeGuard captures the timestamped evidence of detention and accessorial events at each stop, applies the free-time and accessorial terms that apply to that load, calculates what is owed, and generates a documented claim ready for you to submit. The exact scope of service is defined by your selected plan (Starter, Growth, or Scale) and detailed in your signed Client Service Agreement.

Qiyadon treats all client load, timestamp, and claim data as strictly confidential. Your records and account information are never shared with other clients or third parties beyond what is necessary to deliver the contracted service.

6. Limitation of Liability

Qiyadon's liability is limited to the total fees paid by the client for the affected period of service. Qiyadon is not liable for indirect damages, lost revenue, lost opportunities, unpaid or disputed claims, or reputational harm arising from the outcomes of automated charge processing. ChargeGuard generates documented claims for the carrier to submit -- it does not guarantee that a shipper or broker will pay any given claim.

7. Termination

Either party may terminate engagement with 14 days' written notice. Upon termination, Qiyadon will cease active claim processing and revoke any connected integration within 5 business days. Data retention follows the policy outlined in our Privacy Policy.

8. Governing Law

These Terms of Service are governed by the laws of the jurisdiction in which the client's primary business is registered, unless otherwise specified in a separately executed Client Service Agreement.

9. Service Modifications

Qiyadon reserves the right to modify service specifications with 14 days' written notice to the client. Material changes to pricing or scope require a new engagement agreement.
